  1. .TX1 *** INTRODUCTORY CLAUSE FOR LIMITED PARTNERSHIP AGREEMENT **

  4.                  LIMITED PARTNERSHIP AGREEMENT

  6. This agreement is made and entered into this date between 
  7. {GENERAL/PARTNER}, referred to as the General Partner, (and, 
  8. if more than one, collectively referred to as the General 
  9. Partner) and  the  persons executing this Agreement as Limited 
  10. Partners, whose names are set forth  on the signatory pages of 
  11. this document or its counterparts (all of whom are sometimes 
  12. referred to collectively as "Partners").   The Agreement is made 
  13. for the purpose of forming a Limited Partnership (referred to as 
  14. the "Partnership"), under the laws of the State of {STATE/NAME}, 
  15. subject to the following terms and conditions.

  17. .TX2 *** BASIC STRUCTURE CLAUSES FOR LIMITED PARTNERSHIP ********

  20.                          BASIC STRUCTURE

  22. 1.1   Form.   The parties hereby form a Limited Partnership 
  23. pursuant to the laws of the State of {STATE/NAME}.  The General 
  24. Partner shall manage the business of the Partnership and the 
  25. Limited Partners shall not participate in the management of the 
  26. Partnership business.

  28. 1.2   Name.   The business of the Partnership shall be

  31. 1.3   Partners.   The Partners and their principal residence 
  32. addresses,  in addition to those shown in the other executed

  49. 1.4  Place of Business.   The principal office and place of 
  50. business  of the Partnership shall be located at {PARTSHIP/LOCATION}, 
  51. or such other place as the General Partner may designate from time 
  52. to time.
  53.  
  54. 1.5   Term.  The Partnership shall commence on the date of the 
  55. initial  filing  in the office of the Secretary of State  of  the 
  56. applicable  certificate of limited partnership and shall continue 
  57. thereafter for a period of 25 years, unless earlier terminated as
  58. follows:
  59.  
  60.      (a)  By completion of the purpose intended, or
  61.  
  62.      (b)  Pursuant to this agreement, or
  63.  
  64.      (c)  By applicable laws of the State of {STATE/NAME}, or
  65.  
  66.      (d)  By  bankruptcy,  retirement,  withdrawal,  resignation, 
  67. expulsion, or disability of the General Partner and election of 
  68. the remaining Partners not to continue the business.

  70. 1.6  Purpose.  The purpose or purposes for which the Partnership 
  71. is organized is, or are, as follows:

  73. .TX3 *** PURPOSE CLAUSE - LTD PARTNERSHIP - ALL LAWFUL BUSINESS **
  74.      ({!P}) To transact all lawful business for which Partnerships 
  75. may be organized under the Limited Partnership Act of {STATE/NAME}.

  77. .TX4 *** PURPOSE CLAUSE FOR PARTNERSHIP - AGENT FOR BUSINESSES **
  78.      ({!P}) To represent, consult with, render reports to, and act 
  79. as agent or independent contractor for the following types of

  81. pursue their goals in every manner as if their purposes and goals 
  82. were the purposes and goals of this Partnership.

  85.      ({!P}) To arrange for the import, export, trade, purchase,

  87. and to act as agent for others who want to accomplish the same.

  89. .TX6 *** PURPOSE CLAUSE FOR PARTNERSHIP - FARMING OPERATIONS ****
  90.      ({!P}) To cultivate, raise, grow, produce and sell the following

  93. .TX7 ***PURPOSE CLAUSE FOR PARTNERSHIP - INVESTMENTS ************
  94.      ({!P}) To subscribe for, acquire, purchase, invest in and deal 
  95. in, interests in public and private security offerings and to 
  96. underwrite and participate in security offerings of every type, 
  97. including stock, securities, warrants, options, bonds, notes, 
  98. indentures and other secured and unsecured equity and debt 
  99. instruments.

  101. .TX8 *** PURPOSE CLAUSE FOR PARTNERSHIP - HOLDING COMPANY *******
  102.      ({!P}) To acquire, invest in, hold, distribute, hypothecate 
  103. and sell interests in other Partnerships and corporate business 
  104. enterprises, and to exercise all of the powers of a Stockholder 
  105. under the terms of such Corporations' Articles of Incorporation 
  106. and bylaws.

  108. .TX9 *** PURPOSE CLAUSE FOR PARTNERSHIP - BUSINESS MANAGEMENT ***
  109.      ({!P}) To render accounts receivable, accounts payable, sales, 
  110. inventory, manufacturing, financial advance planning and technical 
  111. advice to the following types of business as an aid to their 
  112. general manufacturing, merchandising, organization, and operations 
  113. and to act as promoter, investigator, system analyzer, agent, 
  114. representative and consultant for such business organizations:

  117. .TX10 *** PURPOSE CLAUSE FOR PARTNERSHIP - OIL & GAS OPERATIONS *
  118.      ({!P})  The purpose for which the Partnership is organized 
  119. is to acquire,  invest in, hold, distribute, hypothecate and sell 
  120. interests in oil and gas exploration,  development and production 
  121. ventures  in  a  manner designed to provide the Partners  with  a 
  122. greater  diversity in such investments than they could attain  if 
  123. such  investments were made individually and to manage  such  
  124. investments for the Partners.

  126. .TX11 *** PURPOSE CLAUSE FOR PARTNERSHIP - PUBLISH & BROADCAST **
  127.      ({!P}) To create, prepare, draft, design, print, broadcast 
  128. and publish material relating to the following subject matters:

  130. publication including radio, television, newspaper, magazines, 
  131. and all other forms of commercial and non-commercial media.

  133. .TX12 *** PURPOSE CLAUSE FOR PARTNERSHIP - MANAGE REAL ESTATE ***
  134.      ({!P}) To operate, manage, improve, repair, rent, lease, own, 
  135. acquire, sell, assign, mortgage, hypothecate, and otherwise deal 
  136. in real property and its appurtenances and fixtures and to deal 
  137. in direct interests, Partnership interests, Stockholder interests 
  138. and Joint Venture interests which represent shares in such 
  139. property and to build or contract for the building of buildings 
  140. and other structures on such property for such uses.

  142. .TX13 *** PURPOSE CLAUSE FOR PARTNERSHIP - CONDUCT RESEARCH *****
  143.      ({!P}) To conduct under its employment (or through contracts 
  144. with independent contractors or Joint Ventures) research, design 
  145. and development of the following:  {RESEARCH/TYPES}; and to 
  146. experiment, test and test market the products, services and 
  147. processes resulting from such research and development and to 
  148. investigate, consult, report and render advice as to the 
  149. development of similar products and the techniques and methods 
  150. of their manufactured and sale.

  153.      ({!P} To lease, sell, import, export and to finance purchases

  156. improve the products sold and maintain inventories of products 
  157. to be sold and their repair parts and to finance such inventories 
  158. by factoring or other form of financing or hypothecation.

  169. .TX17 *** PURPOSE CLAUSE FOR PARTNERSHIP - SURVEYING SERVICES ***
  170.      ({!P} To render surveying services to the public, which shall 
  171. include determining and delineating the form, extent and position 
  172. of objects or sites by taking linear, angular or other measurements 
  173. and by applying the principals of geometry, trigonometry and other 
  174. fields of mathematics; assisting in planning sites and structures; 
  175. and investigating, preparing, evaluating, explaining and preparing 
  176. surveys and related drawings and analyses.

  178. .TX18 *** PURPOSE CLAUSE FOR PARTNERSHIP - WHOLESALE GOODS ******
  179.      ({!P} To purchase, sell, warehouse, hold, receive, store, 
  180. forward, factor, take on consignment, collaterally assign and 
  181. otherwise borrow against and finance inventory of the following
